How it works
- Consultation. Tell us who the owners are, where you will do business and what the company is for.
- Structure & quote. We recommend an entity type and jurisdiction and give you a flat-fee quote for the package.
- Formation & filings. We prepare and file the formation documents, set up the registered agent and obtain the EIN.
- Governing documents. We draft the operating agreement or bylaws and any shareholder agreement.
- Ongoing support. We help with annual reports, amendments and other changes as your business grows. Timing depends on the jurisdiction and the filings involved.
Offshore structures & U.S. rules
Offshore and cross-border companies must comply with the U.S. reporting and tax rules that apply to their owners. We coordinate with your tax advisors and do not promise any particular tax result.
Contracts & growth
Once your company is formed, we can help with contracts, acquisitions and outside general counsel. See Business & Contract Law.
Frequently asked questions
Should I form an LLC or a corporation?
It depends on your owners, plans and taxes. Both can limit the owners’ personal liability. An LLC is flexible and simpler to run; a corporation can suit companies planning to raise investment or issue shares. Tax treatment differs – for example, nonresident aliens cannot be S-Corp shareholders – so we coordinate the choice with your tax advisor.
Can a non-U.S. resident own a U.S. company?
Yes. You do not need to be a U.S. citizen or resident to own an LLC or corporation in Florida or other states. We can obtain the company’s EIN even if the owners do not have a Social Security number. Some steps, such as opening a U.S. bank account, can involve additional requirements.
Do I need a registered agent?
Yes. Every Florida company must have a registered agent with a Florida street address to receive official notices and legal papers. We serve as registered agent for Florida companies, and for companies in other U.S. states and offshore jurisdictions – which have similar requirements – we arrange a registered agent there.
Why form an offshore company, and where?
Clients use offshore companies for international holding structures, cross-border business and investors from several countries. We form companies in the British Virgin Islands, Belize, Panama, the Cayman Islands and other jurisdictions. Offshore structures must comply with the U.S. reporting and tax rules that apply to their owners, and we coordinate with your tax advisors.
How much does it cost?
We offer flat-fee formation packages. The price depends on the jurisdiction and the services you need – ask us for a quote. Government filing fees vary by state and country.
